These Terms of Service ("Terms") govern your access to and use of the Escape OS platform, website, and related services (collectively, the "Service") operated by Escape OS ("we," "us," or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.
1. Eligibility
You must be at least 18 years old and capable of forming a binding legal agreement to use the Service. The Service is intended for use by escape room businesses and immersive entertainment operators.
2. Account Registration
- You must provide accurate and complete information when creating an account.
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activity that occurs under your account.
- You must notify us immediately of any unauthorized use of your account.
- We reserve the right to suspend or terminate accounts that violate these Terms.
3. The Service
Escape OS is a software-as-a-service (SaaS) platform that provides booking management, digital waivers, customer relationship management, staff scheduling, point of sale, and related tools for escape room and immersive entertainment operators.
We reserve the right to modify, update, or discontinue any feature of the Service at any time. We will make reasonable efforts to notify you of material changes.
4. Subscription Plans and Billing
4.1 Plans
The Service is offered under subscription plans with different feature sets and pricing. Plan details and pricing are displayed on our website and may change. Current subscribers will be notified of pricing changes at least 30 days in advance.
4.2 Billing
- Subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan.
- All payments are processed securely through Stripe.
- You authorize us to charge your payment method for all fees associated with your subscription.
- If a payment fails, we may suspend your access to the Service until payment is received.
4.3 Free Trials
We may offer free trial periods at our discretion. At the end of a trial, your account will convert to a paid subscription unless you cancel before the trial ends. We will notify you before the trial expires.
4.4 Refunds
Monthly subscriptions: No refunds for partial months. You may cancel at any time and retain access through the end of your current billing period.
Annual subscriptions: You may request a full refund within 14 days of your initial purchase or annual renewal. After 14 days, no refunds are provided for annual plans. Cancellation takes effect at the end of the annual period.
5. Founder's Program
The Founder's Program is a limited-availability offering with the following additional terms:
- Founder's Program subscriptions are billed annually.
- All Founder's Program purchases are non-refundable.
- "Locked-for-life" pricing requires a continuous, active subscription. If you cancel, the founding rate is forfeited and cannot be reinstated.
- Founder's Program availability is limited and may be discontinued at any time at our sole discretion.
- Perks and benefits described in the Founder's Program are provided on a best-effort basis and may evolve as the platform grows.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws.
- Attempt to gain unauthorized access to the Service, other accounts, or our systems.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse-engineer, decompile, or disassemble any part of the Service.
- Use automated tools (bots, scrapers) to access the Service without our written permission.
- Transmit malware, viruses, or any harmful code.
- Use the Service to send spam, phishing, or unsolicited communications.
- Sublicense, resell, or redistribute access to the Service without our authorization.
7. Your Data
7.1 Ownership
You retain ownership of all data you upload to or create within the Service ("Your Data"). This includes booking records, customer information, waiver submissions, staff data, venue configurations, and any other content you provide.
7.2 License
You grant us a limited license to use, process, and store Your Data solely to provide and improve the Service. We will not use Your Data for any purpose unrelated to the Service without your consent.
7.3 Data Portability
You may request an export of Your Data at any time. We will provide your data in a standard, machine-readable format within a reasonable timeframe.
7.4 Data Deletion
Upon account cancellation, we will delete or anonymize Your Data within 90 days, except where retention is required by law. You may request immediate deletion by contacting us.
8. Intellectual Property
The Service, including all software, design, text, graphics, logos, and content created by us, is owned by Escape OS and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.
"Escape OS" and related logos are trademarks of Escape OS. You may not use our trademarks without prior written permission.
9. Third-Party Services
The Service integrates with third-party services (e.g., Stripe for payments, Google for analytics). Your use of those services is governed by their respective terms and privacy policies. We are not responsible for the actions, content, or practices of third-party services.
10. Availability and Uptime
We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control.
We are not liable for any damages resulting from Service downtime or interruptions.
11. Limitation of Liability
To the maximum extent permitted by law, Escape OS and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of the Service.
Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
12. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will meet your specific requirements, operate without interruption, or be free of errors or security vulnerabilities.
13. Indemnification
You agree to indemnify and hold harmless Escape OS and its officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
14. Termination
- You may cancel your subscription at any time through your account settings or by contacting us.
- We may suspend or terminate your access if you violate these Terms, with or without notice.
- Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (e.g., Limitation of Liability, Indemnification, Governing Law) will remain in effect.
15. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law provisions.
Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of Ohio. You waive any right to participate in a class action lawsuit or class-wide arbitration.
16. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page, updating the "Last Updated" date, and — for significant changes — sending an email to the address associated with your account.
Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Service.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
18. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Escape OS regarding the Service and supersede all prior agreements, proposals, and communications.
